Fremman Capital (“Fremman”) is pleased to announce that it has acquired a majority stake in Proteko (“Proteko” or the “Group”) from Finint Investments (“Finint”) and management.
Fremman will work closely with Proteko’s founders, Francesco Scelsi and Antonio Mendo, who will remain significant shareholders and continue to lead the business.
Founded in 2016 and headquartered in Vicenza, Proteko supports over 9,000 customers across a broad range of industries, providing mission-critical workplace safety and compliance services.
Underpinned by its proprietary Pro_Safety digital platform, the group’s offering spans fire safety, machine compliance, consulting and training, and occupational health, helping customers meet mandatory regulatory requirements and maintain safe, compliant and productive working environments.
Proteko operates in a resilient market characterised by recurring, non-discretionary demand driven by regulation. The business has developed a differentiated position through its strong technical expertise, technology-enabled service model and its footprint across Northern and Central Italy. Proteko has combined strong organic growth with the successful completion and integration of ten acquisitions since 2019, creating a scalable platform with significant opportunities for further consolidation in a highly fragmented market.
Together with the founders and management team, Fremman will support Proteko’s next phase of growth by continuing to invest in its people, technology and operational capabilities, while accelerating its M&A strategy.
Antonio Gatti, Partner at Fremman Capital, commented: “Proteko perfectly reflects the type of business we seek to back: a market-leading provider of essential services, operating in a resilient sector with significant opportunities for further expansion. Francesco and Antonio have built an exceptional platform, and we are excited to partner with them and the wider management team in the next phase of Proteko’s journey. Together, we will continue to invest in the Group’s people, technology and acquisition strategy in a highly fragmented market.”
Vitale & Co. (M&A), Hogan Lovells (Legal), Alvarez & Marsal (Financial), Marlborough Partners (Debt), Fortlane Partners (Commercial), Foglia & Partners (Tax) and Liva (W&I) acted as advisers to Fremman Capital in the transaction.
